Job Description:

As an IPO/SPAC Readiness Consultant, you will be part of a team that will assist and support our clients through their transaction process. -Clients will need help in the areas of: Program Management, Technical Accounting (including Regulatory Filings), Financial Reporting & Tax Support, Stock Plans, SOX Readiness & Compliance and Post-Transaction Support (see details of the different roles below). -In each of these roles, you will be part of a delivery team and will utilize your previous IPO and/or SPAC experience to assist in the areas that are relevant to your expertise.

WHAT YOU WILL WORK ON

• Program Management: Develop or provide guidance on a project framework, methodology and governance structure, facilitate the development of functional plans, provide status reporting, liaison with key parties (auditors, bankers, attorneys, etc.) and coordinate SEC filing preparation.
• Technical Accounting: Perform technical accounting research and draft position papers. May include specialized expertise in ASC 606, SEC reporting, US GAAP, Tax, Process & Controls, etc.
• Financial Reporting: Design and implement processes and procedures for post-IPO requisite SEC reporting (10Q's and 10K's) and electronic filing requirements, including SOX Sections 302 and 906 compliance.
• Tax Support: Provide tax assistance to support Corporate Tax readiness including SEC reporting and other Day 1 compliance requirements and assist with standing-up Tax Departments.
• Stock Plan Administration & Accounting: Design and implement equity accounting processes and stock plan administration function or select/coordinate with a third-party stock plan administration platform provider.
• SOX Readiness & Compliance: Document processes, develop control matrices, develop audit programs and execute control tests. Assist with audit support and documentation, draft accounting policies. WHAT YOU WILL BRING -
  
  
  • Bachelor's or 4-year Degree -
  • Previous IPO and/or SPAC experience
  • Certified Public Accountant or Certified Internal Auditor, preferred WHAT YOU CAN EXPECT
    
    
    • Variety of workplace arrangements including hybrid, remote, onsite. -
    • Compensation commensurate with employee qualifications, experience, and other factors including geographic location, market, and operational factors.
    • Pay Range: $80-90/hr -
