As the Senior Accountant, Acquisitions,--you will work with the Acquisitions Accounting Manager in the Hanger Accounting and Finance Department. In this vital role, you will serve as the preparer of key documents and memorandums relating to ASC 805, Business Combinations, as well as additional responsibilities in support of the finance and accounting department's due diligence efforts over target companies and subsequent purchase accounting. In addition, you will be involved in the preparation of internal valuations and oversight of external valuation specialists of intangible assets acquired in acquisitions. This position has a unique blend of technical and operational accounting, as well as exposure to M&A activities including valuation and due diligence. Currently, this is an individual contributor role within the Financial Reporting Group, a critical aspect of which is the technical accounting for acquisitions and supporting external and internal efforts surrounding the valuation of acquired intangibles. This role requires coordination and communication across various departments involved in the acquisitions process. It also requires performance of various hands-on tasks as you assist with the coordination of the accounting group's due diligence efforts and prepare documentation necessary to complete purchase accounting in accordance with ASC 805, Business Combinations and the Company's internal control framework. In addition, this role will prepare the necessary documentation for purposes of SEC Reporting and disclosure to investors and shareholders of the Company. A key component of this role is your ability to communicate and collaborate with cross- functional internal teams and external auditors as we perform the complex steps and actions required to properly execute on the Company's acquisition strategy. Your Impact

  • Support the acquisition accounting process from due diligence, initial recording of the purchase accounting entry and monitoring of post- acquisition activity, such as working capital adjustments.
  • Perform technical accounting research and prepare memorandum(s) documenting the Company's accounting for acquisitions under applicable guidance, including the Company's application of assumptions underlying internal or external valuations.
  • Review purchase agreements to determine the relevant accounting impact on the opening balance sheet and integration activities.
  • Assist with the preparation of SEC financial statements disclosures related to business combinations and goodwill.
  • Prepare discounted cash flow models in connection with the internal valuation of intangible assets acquired through acquisitions.
  • Prepare purchase price allocations and supporting schedules to record acquisition activity.
  • Prepare the technical accounting analysis and support the Company's annual valuation of goodwill and indefinite lived intangible assets with the assistance of external valuation consultants, as necessary.
  • Assist in the coordination and execution of due diligence procedures performed in connection with acquisitions.
  • Work closely with external & internal auditors to determine effectiveness of internal controls surrounding the business combinations process in accordance with Sarbanes-Oxley and company policies and procedures. Minimum Qualifications Minimum
    • Bachelor's degree in Accounting or CPA
    • 5 years of related M&A accounting experience applying GAAP principles -OR- 3 years of public accounting experience. Preferred
      • Three (3) years of Big 4 public accounting with experience in valuation and exposure to accounting for business combinations.
      • Excellent verbal and written communication skills.
      • Advanced Excel skills and preparation of discounted cash flow models valuing intangible assets.
      • Certified Public Accountant (CPA) or met the criteria to sit for the CPA exam. Additional Success Factors The ideal candidate will also possess:--
        • Technical GAAP knowledge and/ or application of valuation principles related to:
          • Acquisitions of multiple small and independent businesses,
          • Intangible assets acquired in a business combination and the associated valuation models, such as customer lists, trade names, and
          • Applying fair market value principles to the accounting for assets acquired and liabilities assumed.
          • Excellent verbal and written communication skills.
          • Advanced Excel skills and preparation of discounted cash flows models valuing intangible assets.
          • Act with integrity in all ways and at all times, remaining honest, transparent, and respectful in all relationships.
